TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and FuteurCredX Inc., which operates the FuteurCredX platform (“FuteurCredX,” “we,” “us,” or “our”), governing your access to and use of the FuteurCredX platform, including our website, dashboard, mobile applications, and all associated software, services, and content (collectively, the “Platform”).

Agreement to Terms

By creating an account, submitting an application, checking “I agree to the Terms & Conditions,” or otherwise accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy in their entirety. If you do not agree, you must not access or use the Platform.

If you are using the Platform on behalf of a business or organization, you represent that you are an authorized owner, officer, or agent with authority to bind that entity to these Terms, and “you” includes that entity.

What FuteurCredX Is — and Is Not

FuteurCredX is a technology platform that helps small and mid-sized businesses discover, prequalify for, and apply to business-financing products offered by third-party banks, lenders, and financing partners (each a “Lending Partner”). We provide:

  • 2.1A guided application and, where expressly disclosed, soft-inquiry prequalification that estimates which products you may qualify for;
  • 2.2Collection and secure handling of the business and owner information, financial documents, and bank statements needed to seek financing;
  • 2.3Automated analysis of your submitted bank statements and credit data to help match you with appropriate products;
  • 2.4Transmission of your application and supporting documents to one or more Lending Partners (including our integration partner, Lendflow) so they can make a credit decision;
  • 2.5A dashboard showing available business-credit insights, application status, and any potential options returned by participating providers;
  • 2.6Credit-monitoring, report, readiness, educational, API, and enterprise integration capabilities that may be offered from time to time.

Eligibility

To use the Platform you represent and warrant that:

  • 3.1You are at least 18 years old and have the legal capacity to enter into these Terms;
  • 3.2You are an owner, principal, or authorized representative of a business organized and operating in the United States;
  • 3.3All information you provide is accurate, current, and complete, and relates to you and your business (not a third party) unless you are expressly authorized to act on their behalf;
  • 3.4You will use the Platform only for lawful business-financing purposes and not from any jurisdiction where use of the Platform is prohibited.

Account Registration

To access the Platform you must create an account, which may be provisioned through a third-party identity provider (such as Google or Apple) or by email. You agree to provide accurate information, keep it updated, keep your credentials confidential, notify us immediately of any unauthorized use, and accept responsibility for all activity under your account. We may suspend or terminate accounts containing false, inaccurate, fraudulent, or misleading information.

The Application and Soft Prequalification

When you submit an application, you provide business details (such as legal name, EIN, address, time in business, and revenue), owner details (such as legal name, date of birth, Social Security Number, ownership percentage, and residential address), the amount and purpose of financing you are seeking, and supporting documents.

Where the application expressly identifies the inquiry as soft, we use this information to run a preliminary prequalification and to prepare your application for our Lending Partners. Prequalification results, estimated amounts, and any indicative offers are estimates only, are not commitments to lend, and are subject to each Lending Partner’s full underwriting, verification, and final approval.

Credit Report Authorization (FCRA Consent)

As part of prequalification and underwriting, FuteurCredX and/or its Lending Partners and service providers obtain credit information about your business and about you personally as a business owner and guarantor.

The inquiry type and any potential score impact are disclosed before submission. A participating provider may later request separate authorization for a hard inquiry or additional reports during underwriting. An authorization cannot generally be withdrawn for an inquiry already completed, but you may stop a future request by contacting us before it is initiated.

Bank Statements and Financial Documents

To evaluate cash flow or support a request, the Platform or a participating provider may ask you to connect an account, upload recent business bank statements, or provide additional financial documents. You represent that every document you submit is authentic, unaltered, and relates to the business named in your request.

How We Use and Share Your Information

Subject to our Privacy Policy, you authorize FuteurCredX to use and disclose the information and documents you provide — including business data, owner personal information, credit data, and bank statements — to our Lending Partners, their service providers, and our own technology and analytics providers, in order to prequalify, submit, process, and service your request for financing. Lending Partners and service providers may use, retain, and further process your information under their own terms and privacy policies. See our Privacy Policy for full detail.

Electronic Signatures and Communications

Under the federal E-SIGN Act and applicable state law, you consent to transact electronically. When you check the authorization box and type your legal name, you are providing a legally binding electronic signature that has the same effect as a handwritten signature and authorizes the identity, business, and credit verification described in these Terms. You also consent to receive agreements, disclosures, notices, and communications from us and our Lending Partners electronically, including by email and within the Platform. You may withdraw consent to electronic communications by contacting us, though doing so may prevent us from providing the Service.

Fees and Compensation

Creating an account or submitting a funding request may be offered without a platform fee. Reports, subscriptions, or premium features may require payment, which will be disclosed before purchase. FuteurCredX may receive referral, marketing, technology, or other compensation from participating providers or partners. A provider’s agreement controls all financing charges, rates, and terms.

Acceptable Use

You agree not to: provide false, stolen, or third-party identity or financial information; upload altered or fraudulent documents; use the Platform for any unlawful, deceptive, or money-laundering purpose; attempt to access another user’s data; interfere with, scrape, reverse-engineer, or disrupt the Platform; or use the Platform to obtain credit you do not intend to repay. We may investigate and report suspected fraud or unlawful activity to law enforcement and to credit bureaus and Lending Partners.

Third-Party Services and Integrations

The Platform relies on third-party services — including Lending Partners, our lending-integration provider (Lendflow), identity and authentication providers, credit bureaus, bank-data and document-processing providers, and artificial-intelligence services. Your use of those services through the Platform may be subject to their own terms and privacy policies. We are not responsible for the acts, omissions, products, decisions, or content of any third party, including any Lending Partner’s decision to approve, decline, price, or fund your application.

Intellectual Property

The Platform, including its software, design, text, graphics, logos, and the FuteurCredX, FuteurCred, and LumiqAI names and marks, is owned by FuteurCredX Inc. or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform except as expressly permitted.

Data and Product Improvement

We may use aggregated and de-identified data derived from Platform activity to operate, secure, analyze, and improve our products and models. We do not sell personal information for money. Some privacy laws define “sale” or “sharing” more broadly; where applicable, we provide the disclosures and choices those laws require. Our use of your information is governed by our Privacy Policy.

Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any prequalification, score, estimate, or match will be accurate or result in funding.

Limitation of Liability

To the maximum extent permitted by law, FuteurCredX Inc. and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Platform, a third party’s decision, or financing obtained or not obtained. Our total aggregate liability for a claim relating to the Platform will not exceed the greater of the amount you paid us for the applicable Service in the twelve months before the claim or one hundred U.S. dollars ($100).

Indemnification

You agree to indemnify and hold harmless FuteurCredX Inc. and its affiliates from claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your unlawful use of the Platform, your material violation of these Terms, or your submission of false, unauthorized, or infringing information or documents.

Termination

You may stop using the Platform and request account closure at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, submit fraudulent information, or create risk or legal exposure. Sections that by their nature should survive termination (including authorizations already exercised, disclaimers, limitations of liability, indemnification, and dispute terms) will survive.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Subject to any non-waivable rights or forum requirements under applicable law, disputes arising from these Terms or the Services will be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to those courts’ jurisdiction and venue.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date and, where appropriate, notify you. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

General

These Terms, together with our Privacy Policy, are the entire agreement between you and FuteurCredX regarding the Platform. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
