Build the dollar-and-date model

Read the security agreement, UCC language, guarantee, deposit-account provisions, title requirements, and negative pledges together. Use the actual proposed amount and start date. Put every deduction, payment, adjustment, renewal, final payment, and release event on a calendar; then reconcile the total to the agreement.

Request missing figures in writing. If a number changes with an index, draw, utilization, revenue, payoff date, or lender decision, model at least three plausible values instead of copying the most favorable illustration.

Pressure-test the structure

Model default, future financing, asset sale, ownership change, and payoff to see how the structure affects operations beyond price. Run the obligation through an ordinary month, a weak month, and a disruption month. Measure the lowest projected bank balance, not merely average coverage, and include payroll, taxes, rent, suppliers, existing debt, and owner distributions.

A structure that works only when revenue arrives exactly on forecast is not flexible. Identify the contractual and operational response available before a missed payment: unused capacity, adjustment, cure, refinance, asset sale, or cash reserve.

Leave the conversation with evidence

Obtain a collateral schedule, filing plan, priority requirements, release conditions, and written explanation of every form of recourse. Preserve the proposal, final agreement, authorization, payment schedule, payoff examples, collateral and guarantee documents, and the representative’s written answers. Record which statement is binding and which is only an estimate.
